1. Agreement to Terms

Welcome to Canvelete. These Terms of Service ("Terms") govern your access to and use of Canvelete's design automation platform, website, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our Services. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years old (or 16 in the European Economic Area) to use our Services. If you are under 18, you must have permission from a parent or legal guardian. By using our Services, you represent and warrant that you meet these requirements.

You may not use our Services if:

  • You have been previously banned from our Services
  • You are prohibited by law from using our Services
  • Your account has been terminated for violating these Terms

3. Account Registration and Security

3.1 Account Creation

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access
  • Be responsible for all activities under your account

3.2 Account Types

We offer different account types with varying features and limitations:

  • Free Plan: Limited features and usage credits for hobbyists
  • Starter Plan: Entry-level paid plan for getting started
  • Creator Plan: Enhanced features for freelancers and solo creators
  • Team Plan: Advanced features and seats for growing teams
  • Enterprise Plan: Custom solutions for large organizations

4. Subscription and Billing

4.1 Subscription Plans

Paid subscriptions are billed on a monthly or yearly basis. By subscribing, you authorize us to charge your payment method for the applicable fees.

4.2 Payment Processing

Payments are processed securely through Polar.sh. You agree to provide valid payment information and authorize automatic charges for recurring subscriptions.

4.3 Pricing Changes

We reserve the right to change our pricing at any time. Price changes will not affect your current billing cycle but will apply to subsequent renewals. We will provide at least 30 days' notice of price increases.

4.4 Refunds

All purchases are final and non-refundable. We do not offer refunds for:

  • Monthly or yearly subscription fees
  • Partial months of service
  • Unused credits or features
  • Account cancellations

Exceptions may be made only where required by applicable law.

4.5 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until the end of the billing period.

4.6 Failed Payments

If a payment fails, we will attempt to charge your payment method again. If payment continues to fail, your account may be downgraded or suspended.

5. Usage Credits and Limits

Each plan includes a specific number of usage credits that reset monthly:

  • Credits are used for design generation, AI features, and other platform usage (e.g., exports, renders)
  • Unused credits do not roll over to the next month
  • Additional credits may be purchased separately
  • We reserve the right to adjust credit allocation with notice

6. Acceptable Use Policy

You agree not to use our Services to:

  • Violate any laws, regulations, or third-party rights
  • Create, upload, or distribute illegal, harmful, or offensive content
  • Infringe on intellectual property rights of others
  • Harass, abuse, or harm other users
  • Distribute malware, viruses, or malicious code
  • Attempt to gain unauthorized access to our systems
  • Scrape, crawl, or use automated tools without permission
  • Reverse engineer or decompile our software
  • Resell or redistribute our Services without authorization
  • Use our Services for spam or unsolicited communications
  • Impersonate others or misrepresent your affiliation
  • Interfere with or disrupt our Services

7. Content and Intellectual Property

7.1 Your Content

You retain ownership of all content you create, upload, or store using our Services ("Your Content"). By using our Services, you grant us a limited license to:

  • Store, process, and display Your Content to provide our Services
  • Make backups and copies for operational purposes
  • Use Your Content to improve our Services (in anonymized form)

7.2 Our Intellectual Property

Canvelete and all related trademarks, logos, software, and content are owned by us or our licensors. You may not use our intellectual property without express written permission.

7.3 Third-Party Assets

When using assets from Pixabay, Unsplash, FreeSVG, or other providers, you must comply with their respective licenses and terms of use. We are not responsible for your use of third-party assets.

7.4 AI-Generated Content

Content generated using our AI features (powered by Google Gemini) is subject to the AI provider's terms. You are responsible for ensuring AI-generated content complies with applicable laws and does not infringe on third-party rights.

8. API and Integrations

8.1 API Access

We provide API access for automation tools like Zapier and n8n. API usage is subject to:

  • Rate limits based on your subscription plan
  • Proper authentication and security practices
  • Compliance with these Terms and our API documentation

8.2 OAuth2 Authorization

When connecting third-party services, you authorize them to access your account according to the permissions you grant. You can revoke access at any time through your account settings.

8.3 API Changes

We may modify, deprecate, or discontinue API endpoints with reasonable notice. We are not liable for disruptions caused by API changes.

9. Data and Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.

10. Service Availability and Modifications

10.1 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. Our Services may be unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency maintenance or security updates
  • Technical issues or outages
  • Third-party service disruptions

10.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We are not liable for any modifications or discontinuation of Services.

11. Termination

11.1 Termination by You

You may terminate your account at any time by:

  • Canceling your subscription through account settings
  • Contacting our support team to request account deletion

11.2 Termination by Us

We may suspend or terminate your account if:

  • You violate these Terms or our policies
  • Your account is involved in fraudulent or illegal activity
  • Payment for your subscription fails repeatedly
  • We are required to do so by law
  • We discontinue the Services

11.3 Effect of Termination

Upon termination:

  • Your access to the Services will be revoked
  • Your Content may be deleted after a grace period
  • You remain responsible for any outstanding fees
  • Provisions that should survive termination will remain in effect

12. Disclaimers and Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We disclaim all warranties, including but not limited to:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties regarding accuracy, reliability, or availability of the Services
  • Warranties that the Services will be error-free or secure
  • Warranties regarding third-party content or services

You use our Services at your own risk. We do not warrant that our Services will meet your requirements or expectations.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CANVELETE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE.

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Canvelete, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Content or any content you submit

15. Dispute Resolution

15.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@canvelete.com to attempt to resolve the dispute informally. We will work in good faith to resolve disputes.

15.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration, except where prohibited by law. You waive your right to a jury trial or to participate in a class action lawsuit.

15.3 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Services.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Canvelete is registered, without regard to conflict of law principles.

17. Export Controls

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to embargo or designated as a "terrorist supporting" country.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Canvelete regarding the Services.

18.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

18.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control.

18.6 Notices

Notices to you may be sent to the email address associated with your account. Notices to us should be sent to legal@canvelete.com.

19. Changes to Terms

We may update these Terms from time to time. Material changes will be notified through:

  • Email notification to your registered email address
  • Prominent notice on our website or Services
  • In-app notification

Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Services and cancel your account.
